Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BluePort Logistics platform, website, and services. By using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using BluePort Logistics services, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organization, and agree to comply with all applicable laws and regulations.

2. Services

BluePort Logistics provides freight management, real-time shipment tracking, logistics coordination, and related services. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

Service availability is subject to maintenance windows and circumstances beyond our reasonable control, including carrier delays, weather events, customs holds, and port disruptions.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Providing accurate and complete shipment information
  • Notifying us immediately of any unauthorized use of your account
  • Compliance with all applicable export control and customs laws

4. Shipment Terms

When booking shipments through BluePort:

  • You warrant that all shipment contents are accurately described and legally permissible to ship
  • Prohibited items include hazardous materials, illegal substances, counterfeit goods, and items restricted under applicable law
  • ETAs are estimates only and are not guaranteed delivery dates
  • BluePort's liability for lost or damaged cargo is limited to the declared value or applicable carrier tariffs
  • Claims for loss or damage must be submitted within 30 days of the scheduled delivery date

5. Payment Terms

Invoices are due within 30 days of issuance unless otherwise agreed in writing. Late payments accrue interest at 1.5% per month. BluePort reserves the right to suspend services for accounts with outstanding balances exceeding 60 days.

6. Intellectual Property

All software, technology, content, and materials comprising the BluePort platform are owned by BluePort Logistics, Inc. and protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of any BluePort technology.

7. Limitation of Liability

To the maximum extent permitted by law, BluePort's total liability for any claims arising under these Terms shall not exceed the total fees paid by you to BluePort in the three months preceding the claim.

BluePort is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption.

8. Indemnification

You agree to indemnify and hold harmless BluePort Logistics, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your shipment of prohibited or inaccurately described goods.

9. Termination

Either party may terminate the service relationship with 30 days written notice. BluePort may terminate immediately for material breach, including non-payment, fraudulent activity, or shipment of prohibited goods. Upon termination, outstanding invoices become immediately due.

10. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes arising under these Terms shall be resolved in the courts of Harris County, Texas, and both parties consent to that jurisdiction.
